The M&A Paralegal will support the Deputy General Counsel and Associate General Counsel in the management of the company’s mergers and acquisitions activity, including assisting in the due diligence process, the closing and execution process, and managing post-closing integration matters. The M&A Paralegal will also support the Deputy General Counsel to support equity matters and general corporate structure and organization.
Responsibilities: - Assist in the legal due diligence process, including reviewing contracts and other due diligence materials, conducting public licensure, secretary of state and intellectual property searches, and coordinating with company’s outside counsel in respect of diligence review. - Assisting the Associate General Counsel in the review and execution of various legal documents in connection with the company’s M&A transactions, including confidentiality agreements and other ancillary transaction agreements. - Manage outside counsel and internal business teams in connection with execution of transactions. - Assisting the Deputy General Counsel with the management of corporate structure, including management of equity matters. - Assist with a broad range of other corporate and legal matters, particularly in the area of corporate governance and commercial contracts, as and when required.
Requirements & Qualifications: - 3 - 5 years of corporate transactional experience at a national or local law firm or in house legal department, handling M&A, corporate and/or financing transactions. - Mature judgment with the ability to build relationships and engender confidence across the entire organization. - Ability to work collaboratively across the entire organization and interact effectively with senior managers and other internal clients. - Organized planner with strong analytical skills and the capacity to work simultaneously on a variety of diverse projects within strict time constraints. - Self-starter who exudes a “roll-up-the-shirt-sleeves” attitude.

The total compensation for a position may also include other elements dependent on the position offered. The expected base pay range for this position is between $80,000 - $100,000. The actual base pay offered may vary depending on multiple individualized factors, including geographical location, education, job-related knowledge, skills, and experience.
