Position Title:  Associate Counsel

Reports To:  Deputy General Counsel

Location:  Remote US

 

Overview:

One Inc is seeking a dynamic, results-oriented Associate Counsel with strong payments industry experience to join our growing legal team! You will work hand in hand with our General Counsel, Deputy General Counsel, and other legal and compliance team members as well as leadership from other One Inc departments. You will be responsible for a heavy volume of commercial contracts and a variety of other legal initiatives.  Your primary responsibility will be drafting and negotiating client, partner, vendor, and other agreements, but your responsibilities will grow as you learn more about our business and demonstrate an aptitude and desire to take on more varied work – the more the better.

You will need to have extensive experience structuring, drafting, and negotiating complex commercial contracts, preferably as in-house counsel.  An expert understanding of legal concepts is essential, but so is a sharp business mind and the ability to properly balance business needs with legal risks.  A background in the payments industry (issuing and/or acquiring credit/debit cards, virtual cards, ACH, checks, etc.) is preferred but not required.

Essential Job Functions & Responsibilities:

  • Structure, draft, negotiate, review, and manage commercial contracts across the organization, including agreements with clients of all sizes, financial institutions, card networks, partners, vendors, etc.
  • Work with Sales, Operations, Business Development, Product, IT, and Marketing teams to support new/evolving business opportunities.
  • Identify and assess legal and business risks of current and future operations and processes.
  • Support corporate governance initiatives ensuring compliance with applicable laws, rules, and regulations and support a growing compliance team.
  • Provide expert and strategic legal advice to senior management.
  • Conduct complex legal research.
  • Concurrently work on multiple legal issues and projects.

 

Experience & Education:

  • Law degree and member in good standing of a State Bar. Meets local legal license requirements.
  • Minimum 5 – 6 years of experience as an in-house attorney
  • Extensive experience with structuring, drafting, and negotiating complex commercial contracts.
  • Familiarity with data privacy regulations and related contracting issues.
  • Payments industry experience, including an understanding of payment systems, card networks, merchant acquiring, is preferred.
  • Ability to translate complex legal matters into plain language communication.
  • Ability to comfortably operate in the gray
  • Ability to develop collaborative relationship with internal partners and external customers, with comfort interacting with high-level executives.
  • Ability to independently solicit information and input from different stakeholders as necessary.
  • Ability to flourish in a fast-paced,  high growth environment and successfully manage aggressive deadlines with minimal supervision.
