Job description

Our client, a highly respected law firm based in New York City, specializes in healthcare transactional matters. The firm focuses on corporate structuring, mergers, acquisitions, partnerships, and sales, primarily for private dentists, doctors, veterinarians, Dental Service Organizations (DSOs) and Management Service Organizations (MSOs). Their reputation for delivering exceptional legal services makes them a trusted partner in navigating complex healthcare transactions.

Position Overview:
The firm is seeking an experienced Transactional Paralegal to join its remote team. This role is ideal for a skilled professional with a strong background in corporate transactions, entity management, and regulatory compliance. The ideal candidate thrives in a fast-paced environment, excels in managing complex transactional matters, and has meticulous attention to detail.

Key Responsibilities:

  • Entity Formation and Maintenance: Prepare and file documents for the formation, amendment, dissolution, and ongoing maintenance of corporations, LLCs, and other business entities.
  • Due Diligence: Conduct due diligence for mergers, acquisitions, and partnership buyouts, including lien searches, corporate record reviews, and document analysis. Prepare summaries of findings for attorney and client review.
  • Transactional Document Management: Draft, proofread, and organize a wide range of transactional documents, such as purchase agreements, partnership agreements, shareholder agreements, and related contracts.
  • Closing Process Coordination: Assist attorneys with managing the closing process for transactions, including preparing closing checklists, coordinating document execution, and assembling final closing binders.
  • Lien Searches and Payoff Letters: Perform UCC and other lien searches, summarize results, and prepare payoff letters and related documentation for lien releases.
  • Partnership Buyouts: Support the legal team with structuring and executing partnership buyouts, ensuring compliance with all legal requirements.
  • Client and Stakeholder Communication: Act as a liaison between attorneys, clients, and other stakeholders to ensure seamless communication and workflow throughout the transaction process.
  • Regulatory Compliance and Filings: Prepare and submit regulatory filings as required by state and federal laws, ensuring deadlines and compliance standards are met.
  • Research and Analysis: Conduct research on corporate governance, healthcare industry compliance, and related transactional matters.

Qualifications:

  • Education: Bachelors degree and/or paralegal certificate from an ABA-accredited program.
  • Experience:
  • Must have at least 3-5 years of transactional paralegal experience, including experience with mergers, acquisitions, and partnership buyouts.
  • Familiarity with healthcare transactional matters, including DSOs/MSOs, is strongly preferred.
  • Skills:
  • Proficiency in legal research and document preparation.
  • Exceptional organizational skills and attention to detail.
  • Ability to manage multiple transactions and meet strict deadlines.
  • Strong written and verbal communication skills.
  • Proficiency with Microsoft Office Suite and document management software.
  • Work Style: Self-motivated and capable of thriving in a remote work environment.
