The Impact You’ll Make in this Role

The Senior Director of Executive Compensation and HR Due Diligence is a highly strategic role within the HR function, responsible for supporting the development, implementation, and management of executive compensation programs as well as leading HR due diligence efforts for mergers, acquisitions, and other corporate transactions. This individual will partner with senior leadership, including the executive team, finance, legal, and other key stakeholders, to ensure competitive, equitable, and performance-driven compensation packages for executives, while safeguarding the organization during critical business transactions.

The Senior Director of Executive Compensation and HR Due Diligence will provide deep expertise in executive compensation strategies, governance, and market benchmarking, while also managing complex HR due diligence processes related to mergers and acquisitions. The ideal candidate will possess a blend of strong analytical skills, strategic thinking, and the ability to influence key decision-makers in a dynamic business environment.


As a(n) Senior Director, Executive Compensation & HR Due Diligence, you will have the opportunity to tap into your curiosity and collaborate with some of the most innovative and diverse people around the world. Here, you will make an impact by:

  • Lead Talent Committee support analyses and projects
  • Support Annual Incentive Plan/Long-Term Incentive Program design and associated project work
  • Lead annual shareholder proxy/CD&A activity managing executive compensation team and in collaboration with legal team
  • Lead HR M&A Total Rewards strategy and due diligence execution

Executive Compensation:

  • Strategic Leadership: Lead the development, execution, and continuous improvement of executive compensation programs (including base salary, annual bonuses, long-term incentives, and equity-based awards) to ensure alignment with business goals, industry best practices, and shareholder interests.
  • Benchmarking & Market Intelligence: Oversee compensation benchmarking and market analysis to ensure competitive compensation practices that attract, retain, and motivate top executive talent. Leverage external market data and internal trends to refine compensation strategy.
  • Governance & Compliance: Ensure executive compensation programs are compliant with all relevant regulatory requirements (e.g., SEC disclosure rules, IRS regulations, and corporate governance best practices). Maintain strong knowledge of the evolving legal and tax environment.
  • Compensation Communication: Partner with senior leadership and other key stakeholders to clearly communicate executive compensation strategy, philosophy, and decisions to both internal and external audiences.
  • Incentive Design: Design and implement performance-based incentive programs that align executive compensation with the company’s long-term goals and shareholder value.
  • Advisory Role: Support the Senior Vice President, Total Rewards on Talent Committee analyses and materials.

HR Due Diligence:

  • Transaction Support: Lead HR due diligence for mergers, acquisitions, joint ventures, and other corporate transactions, ensuring a thorough analysis of the target’s compensation practices, benefits programs, and overall HR structure.
  • Risk Identification & Mitigation: Identify and assess potential risks related to compensation, benefits, and HR policies during due diligence, and work with legal and financial teams to mitigate risks and integrate solutions.
  • Integration Planning: Work closely with HR business partners and cross-functional teams to design and implement post-transaction integration plans, particularly in relation to executive compensation alignment, retention strategies, and harmonizing HR policies.
  • Data Analysis & Reporting: Collect, analyze, and interpret compensation and HR data during the due diligence process to ensure informed decision-making and effective integration.
  • Cultural Assessment: Evaluate organizational and leadership structures in target companies, making recommendations on how to best integrate talent and compensation programs post-transaction.

Leadership & Team Development:

  • Team Management: Lead, mentor, and develop a high-performing team responsible for the executive compensation and HR due diligence functions. Foster a culture of collaboration, innovation, and continuous improvement.
  • Cross-functional Collaboration: Partner with key internal stakeholders, including finance, legal, strategy, and operations, to ensure seamless execution of compensation and due diligence strategies.
  • Stakeholder Management: Build strong relationships with key stakeholders across the organization, including executive leadership, the board of directors, and external consultants, ensuring alignment on compensation philosophy and transaction-related HR strategies.

Your Skills and Expertise 
To set you up for success in this role from day one, Solventum requires (at a minimum) the following qualifications:

  • Bachelor’s Degree or higher AND (twelve) 12 years of executive compensation, HR due diligence, and/or total rewards, with a strong focus on leadership roles within large, complex organizations.

In addition to the above requirements, the following are also required:

  • Significant experience in M&A HR due diligence, including identifying risks, managing complex data, and developing post-transaction integration strategies.
  • Expertise in executive compensation design and governance, including incentive structures, performance management, and regulatory compliance.
  • Experience working with Board of Directors and Compensation Committees to develop and execute compensation strategies.

  • Strategic Vision: Ability to think strategically and provide clear direction on executive compensation and HR transaction matters.
  • Analytical Skills: Strong quantitative and qualitative analytical skills, with the ability to evaluate data and make data-driven decisions.
  • Communication & Influence: Exceptional communication skills with the ability to present complex compensation strategies and HR due diligence findings to senior leaders and stakeholders.
  • Cross-Functional Collaboration: Strong interpersonal skills and the ability to collaborate effectively with a wide range of internal and external stakeholders.
  • Attention to Detail: High attention to detail with the ability to manage complex processes and deliver high-quality outcomes under tight timelines.
  • Leadership: Proven leadership experience, including team management, mentoring, and development
  • Executive compensation consulting experience
  • Certified Compensation Professional (CCP) designation.
  • Senior Professional in Human Resources (SPHR) or similar HR certification.

Travel: May include up to 10% domestic
