As a Contracts Manager/Senior Corporate Paralegal at Risepoint, you will provide excellent legal support across a wide range of corporate legal matters, including contract drafting and management, compliance, intellectual property, corporate governance, and more. You will work closely with senior attorneys and business leaders to address legal challenges, identify solutions, and ensure that Risepoint’s operations comply with relevant laws and regulations. Successful candidates will have experience with contract drafting and review, excellent analytical and program management skills, strong attention to detail, and experience managing multiple projects and competing priorities.
A Day in the Life
The essential functions of this role are as follows:
Create and modify contractual agreements with vendors, partners and internal business teams, ensuring accuracy and compliance with company policies, regulations, and alignment with departmental and corporate goals.
Assist in document management, including updating templates to com-ply with updated laws and global standards, formatting, proofreading, and maintaining accurate records of all contract versions, redlines, and document approvals. Provide training to other business units on legal processes as needed. ·
Assist in the maintenance of the company’s contract and document management system, including gathering, organizing, and managing agreements and legal documents to support the team’s success, identifying and implementing best practices.
Implement and refine contract management processes, using insights and data to streamline contract workflows, improve negotiation strategies, and enhance contract accuracy and compliance across different jurisdictions.
Conduct research and draft memoranda and reports on various corporate matters.
Support corporate filings, including regulatory and intellectual property submissions.
Assist with the company’s compliance initiatives, including reviewing and drafting policies and procedures.
Participate in mergers, acquisitions, and other transactional work by performing due diligence and assisting in document preparation.
Draft and review corporate resolutions, minutes, and other governance-related documents.
Stay updated on changes in laws and regulations affecting corporate business practices.
Provide guidance to internal teams on contract administration, corporate governance, risk management, and compliance issues.
Provide general legal assistance as needed by the legal department as well as other departments and executives.
What You’ll Need for Success
You must meet the following requirements to be considered for employment:
Bachelor's degree (or equivalent education)
3+ years law firm or in-house experience drafting commercial agreements, preferably as a paralegal or contracts manager.
Proactive, entrepreneurial approach to recognizing needs, solving problems, anticipating issues and developing solutions.
Excellent time management and organizational skills, capable of handling multiple requests in a fast-paced environment and managing priorities.
