Job description

Summary:

The Assistant General Counsel is responsible for protecting the Health Plans Inc. and Point32Health’s legal interests and maintaining HPI’s operations within the scope established by law. Provides advice and support to the management and staff of the organization and its affiliates within assigned business areas. Responsible for identifying and analyzing legal issues, presenting clear recommendations, drafting key documents, and directly managing legal aspects of complex corporate initiatives.

Duties and Responsibilities:

  • Provides leadership and drives overall performance within HPI to ensure achievement of HPI’s legal compliance strategies and initiatives.
  • In coordination with General Counsel, respond to Point32Health inquiries and monitoring activities regarding HPI’s companywide compliance status and initiatives, including HIPAA privacy, state licensing and reporting, and corporate governance. 
  • Maintain ongoing dialogue with General Counsel and Point32Health regarding legal and compliance initiatives and implement all applicable initiatives.
  • Provides legal and compliance oversight and assistance to HPI’s subsidiaries including Employers Health Network, TrestleTree and MedWatch.
  • Provides legal guidance and serve as resource for Senior Leadership and HPI departments on issues of legal and regulatory compliance.  
  • Provides advice to HPI Senior Leadership in operational matters to minimize risk of legal exposure with foresight to prevent matters from reaching point of litigation for HPI and its clients.
  • In coordination with the General Counsel, manage all matters of potential or actual litigation with General Counsel.
  • Serves as HPI’s Chief Compliance Officer to provide overall strategic and operational leadership for the company’s compliance and regulatory matters.
  • Responsible for the evaluation, drafting, negotiation and on-going management of all corporate vendor contracts, including contracts with Preferred Provider Organizations, Pharmacy Benefit Managers and other services vendors, and reviews and negotiates client and vendor requested edits to Confidentiality Agreements and Business Associate Agreements.
  • Responsible for identifying company risk, including those related to the contracting process and recommends appropriate risk mitigation strategies.
  • Provides direct oversight, training and development of compliance department resources to ensure clients’ Administrative Service Agreements (“ASAs”) and related documents are drafted accurately and timely; drafts ASA template updates, and reviews and negotiates client requested edits.


Education Requirements:

  • Required (minimum): Juris Doctor (J.D.) degree from an accredited law school.


Certification and Licensure:

  • License to practice law in a jurisdiction in which HPI does business.
  • Capable of being admitted as In-House Counsel by the MA Board of Bar Overseers.


Experience Requirements:

  • 7 years relevant legal experience in a law firm or in-house environment. 
  • Excellent verbal and written communication and advocacy skills.
  • Excellent document drafting and negotiation skills.
  • Excellent research skills with strong analytic ability to interpret contracts, legislation, laws, and regulations, identify issues and develop innovative solutions and strategies to reach satisfactory resolution.
  • Mature judgment on relevant matters of business and law.
  • Proactive – actively identify legal issues and time manage the legal aspects of projects.
  • Ability to see the “big picture” as well as pay close attention to detail.
  • Advanced proficiency in in Microsoft Office, including Word, Excel, Outlook and PowerPoint


Preferred Experience Requirements:

  • 7 years health or insurance law experience 
  • Ability to effectively present information and respond to questions from groups of executives, managers, external stakeholders, counterparties and customers.
  • Ability to develop and manage policies and procedures that support the business.
  • Strong organizational, analytical, project management, and communications skills.  Ability to respond to constantly changing circumstances and work under short deadlines. 
  • Skilled in fostering teamwork and collaboration with internal business clients.
