As a direct report of the CEO, responsible for the oversight and management of the legal affairs of VSP Lines of Business (LOB’s) and providing legal guidance and direction on VSP’s strategic business plans and goals.
Provides counsel to CEO and Board to minimize, manage, and mitigate Enterprise risk
Provides guidance on VSP’s corporate strategic goals and projects
Manages VSP’s corporate and subsidiary structures
Oversees legal and regulatory compliance which includes being proactive in identifying and monitoring of the status of legislation nationwide that may impact VSP’s businesses
Oversees federal and state lobbying efforts
Assist senior leadership in proactively seeking investment opportunities that support VSP’s LOB’s in advancing VSP’s vision to set the global standard for the delivery of eyecare and eyewear products and services
Advise executive leadership on the legal and regulatory implications of potential M&A opportunities, including risk analysis
Monitor and address any legal issues arising from M&A activity
Provide legal counsel on employment-related matters
Advise on employee disputes, litigation, and claims, managing outside counsel when necessary
Advise on relevant federal, state, and local regulations affecting the insurance industry, ensuring the company’s compliance with all applicable laws
Represent the company in legal matters before government entities and regulatory bodies
Develop and execute strategies to address regulatory changes and mitigate potential legal risks
Advise the Board of Directors, executive management, and senior leadership on governance matters, fiduciary duties, and regulatory compliance
Provides strategic and solutions-based advice to the business on new initiatives
Manages the attraction, retention and development of a high-performance legal team
Lead internal legal teams and provide sound coordination with outsourced legal counsel as needed
Perform special projects as assigned
Job Specifications
Typically has the following skills or abilities:
Juris Doctor Degree from an accredited law school and active license to practice law in a US state
Ten or more years of experience with clear progression to senior leadership/ management roles, leading a motivating cross-functional interdisciplinary teams to achieve strategic goals
Experience managing a legal department with at least 10 years professional legal experience in a corporate or law firm environment
Knowledge of mergers and acquisitions to be able to assist with the transaction from a legal perspective
Excellent negotiation skills
Excellent planning, organizational, analytical, leadership and verbal written communication skills
Knowledge of general business operating policies and procedures
Advanced analytical skills to develop and implement new policies and procedures
Knowledge and/or experience with labor negotiations

The working environment is generally favorable. Lighting and temperature are adequate, and there are no hazardous or unpleasant conditions caused by noise, dust etc.
