We have an exciting opportunity for a Senior Manager, Supply Chain (SC) Legal Advisor, who will report to the Associate Director, Raytheon SC Advising. The SC Advisor provides advice and drafting support for purchasing professionals and will: review purchase order/subcontract terms and conditions in compliance with applicable company policies and procedures, internal guidance briefs, federal, state, and local laws, as well as the Federal Acquisition Regulation (FAR) and supplements thereto. Note that this role is an advisory position, working with Counsel to resolve legally related issues supporting our Procurement and Program teams. It is not a General Counsel or an Attorney position and will not represent Raytheon in any legal capacity.
Additionally, this role will advise purchasing professionals and program managers on subcontract issues such as warranty interpretation, limitation of liability, termination for convenience or default, indemnification, and other subcontract terms and risks, as well as novations/assignments, software licensing for Commercial and Free and Open Source Software, intellectual property issues, teaming agreements and other collaborative agreements, proprietary information agreements, and other agreement types.
What You Will Do:
Draft terms & conditions, software licenses, and other agreements that provide the best protection and benefit to the company.
Research legal issues for the Supply Chain organization or the Legal, Contracts, and Compliance (LCC) office.
Assist in establishing negotiation goals, and assist in negotiations regarding deviations from standard provisions.
Review and advise SC on performance issues such as claims and insolvency.
Assist the organization in writing business processes, policies and in oversight reviews.
Provide training and communications.
Assist in maintaining standard terms & conditions and negotiations guidance.
Review complex legal issues with Counsel as appropriate and support audit activities.
Maintain active communication with requesters, management, Subject Matter Experts (SMEs), and SC and Program Counsel on significant legal problems and issues.
Minimal domestic travel to Raytheon sites as required.
Qualifications You Must Have:
Typically requires a University Degree or equivalent experience and minimum 10 years prior relevant experience, or an Advanced Degree in a related field (i.e. Juris Doctorate or Masters Degree in Legal Studies) and minimum 7 years' experience
Experience with US Government (FAR / DFAR Supplements and Government contract procurement processes), licenses, and / or commercial contracts drafting and negotiations
The ability to obtain and maintain a U.S. government issued security clearance (TS/SCI) is required. U.S. citizenship is required as only U.S. citizens are eligible for a security clearance
Qualifications We Prefer:
Experience with Supply Chain processes and procedures
Legal research experience
Experience with export/import, cybersecurity, and privacy law and issues
Must be extremely collaborative, as this candidate will have regular interaction with Supply Chain personnel, LCC and Program Counsel, other SME functions, and other business entities
Detail oriented, excellent problem-solving skills, and ability to develop options and solutions that are practical and can be readily acted upon
A positive, cooperative attitude, but assertive when necessary to comply with company policies and Government regulations and laws
Ability to work effectively in a fast-paced work environment, with often changing goals and requirements, and a very heavy workload, including special projects
