Job Description:

Job Title:  Assistant Vice President of Legal Affairs

Department: Legal Affairs

Job Purpose: 

The Assistant Vice President of Legal Affairs will report to the Vice President of Legal Affairs and be an integral part of the Legal Affairs Department (“LAD”) providing legal, compliance and regulatory counsel and guidance to The Community Solution Education System office (“System”) and its partner institutions.

The Assistant Vice President of Legal Affairs serves as an advisor offering legal guidance related to risk management and mitigation, operational matters, and best practices for compliance with the multiple levels of laws and regulations that govern nonprofit higher education institutions.

Position responsibilities include but are not limited to: 

  • Consulting and advising clients on appropriate legal requirements and risks, as they apply to businesses generally and to higher education in particular, that are related to privacy, security and information management, as well as student conduct related issues.
  • Drafting, negotiating, and providing guidance on a broad range of contracts including but not limited to clinical affiliation agreements, master service agreements, SOWs, MOUs, Licensing Agreements, NDAs and Commercial Leases.
  • Administer the System’s Contract Lifecycle Management platform to ensure that:
    • Requests are appropriately assigned and responded to in a timely manner
    • The contract template repository is up to date
    • System reports, integrations and workflows are leveraged as needed to meet the needs of the System office and each of its partner institutions
  • Providing guidance and counsel on Intellectual Property (IP) matters, including but not limited to guidance on marketing, trademark protection, advertising and claim substantiation and participating in the development of IP policies.
  • Providing general guidance and support for corporate governance functions such as drafting resolutions, amendments to corporate governance documents, as well as preparing and filing any related business entity filings with the appropriate state authorities.
  • Supporting all System development strategic initiatives including drafting, negotiation, and review of NDAs, LOIs, and related due diligence.
  • Serving as key point of contact and subject matter expert for the System’s insurance programs, taking ownership for supporting clients’ needs with respect to insurance coverage matters including handling of claims and understanding of coverage program and policy provisions, managing relationship with insurance brokers and supporting LAD team members with insurance matters as they arise through the contracting processes.
  • Providing risk mitigation advice, training, and counsel as needed on a broad range of regulatory and legal matters applicable to the System office and its partner institutions.
  • Perform other related duties as assigned by Vice President of Legal Affairs.

Required Qualifications - 

Knowledge and Skills:

  • Impeccable judgment, integrity and commitment to ethics.
  • Ability to navigate a cross-matrixed organization and work collaboratively with multiple constituents and a willingness to complete work tasks outside of your immediate job responsibilities, as needed.
  • Excellent analytical, verbal, and written communications skills, including the ability to advise and influence a broad spectrum of constituents at all levels.
  • Ability to prioritize and work on multiple projects in different areas, independently and simultaneously.
  • Proficiency in handling insurance coverage claims and understand policy programs required.
  • Strong relationship building and leadership skills.

Education:

Juris Doctorate degree (J.D.) from an accredited law school

Experience:

A minimum of 4-6 years of experience with significant responsibility for handling workload within a legal team and being self-directed.


Certifications or Licensure:
Member of the bar in good standing. Preference for licensure in Illinois and California.

Preferred Qualifications:

  • Higher Education law experience preferred.
  • Experience in general corporate law and international business transactions preferred.
  • Combined experience in law firm and in-house legal experience preferred.
  • Experience with drafting policies and procedures preferred.
  • Expertise in advising clients with respect to cyber, data privacy and IP issues is strongly preferred.

Working Conditions:

  • Ability to work some evenings/weekends and travel as needed.
  • Ability to respond to short deadlines.

Compensation & Benefits

This opportunity is budgeted at $160,000 - 180,000 base compensation. Additional compensation factors may impact total compensation.
