Job Summary

The Contracts Manager will oversee the creation, review, execution, and analysis of contracts within Textile Exchange. This role ensures that all contracts meet legal requirements, align with organizational goals, and are managed efficiently throughout their lifecycle. This person will bring an understanding and ability to negotiate the terms and conditions of wide-ranging and complex contracts with diverse parties such as partner organizations, sponsors, service providers, licensees, and consultants. They will be detail-oriented and will possess the ability to see connections across multiple areas of work and associated contracts. As a new role at a rapidly scaling organization, this person will build on what already exists to maximize efficiency and explore opportunities for managing the contract lifecycle through existing organization platforms and introduction of new platforms. Additionally, this role will support contract template development and maintenance, as well as training, implementation, and monitoring of contract management processes across the organization.

Duties and Responsibilities

•    Serve as the primary contact for contracts management at Textile Exchange, collaborating closely with Legal Counsel, Legal Support Specialist, Trademark Manager, and the Finance team.
•    Prepare, review, negotiate, and record contracts on behalf of Textile Exchange, ensuring alignment with organizational objectives and legal requirements, optimizing terms and limiting liabilities.
•    Oversee the entire contract management lifecycle, from initiation through extension, renewal or termination, ensuring compliance with terms and conditions.
•    Collaborate closely with internal teams and external partners to facilitate contract discussions, resolve issues, and ensure mutual understanding of contract terms.
•    Identify potential risks associated with contracts and develop strategies to mitigate them. Input information into org-wide risk management system.
•    Identify and implement improvements for contract management systems and contract language to enhance consistency, efficiency and effectiveness.
•    Support contract template development, refinement and maintenance.
•    Maintain accurate records of all contracts, amendments, and related correspondence to ensure transparency and accountability. 
•    Conduct data analysis and reporting related to contracts.
•    Provide and maintain guidance and training on contract management processes.
•    Manage special projects or other tasks as needed, supporting broader Operational Integrity & Governance initiatives and departmental goals.



Minimum Experience and Qualifications



Minimum Requirements 
•    Bachelor’s degree.
•    7+ years’ experience with development and implementation of contract life cycle management, including contract drafting, negotiating, and interpreting.
•    Extensive experience with diverse types of contracts and agreements, including vendor, consultant, subcontractor, partnership, service, sponsorship, licensing agreements, DSAs, NDAs, MOUs, etc., as well as understanding what standard language to include and what associated risks exist with different contract types.
•    A solid understanding of contract law and contractual language.
•    Experience working with Contract Lifecyle Management software, e.g., Juro, Conga Contracts. 
•    Experience with signing software, e.g. Adobe Sign, DocuSign. 
•    Self-motivated and able to work independently in a remote setting while maintaining effective and respectful collaboration with Textile Exchange global teams and external stakeholders.
•    A strong attention to detail and solid organization skills, complemented by an ability to focus on the macro-level and to think critically and strategically.
•    A strong track record in achieving goals and objectives.
•    Ability to manage multiple priorities and adapt to changing priorities and
business needs.
•    Must be willing and able to work remotely/from home and must be flexible to
communicate with multiple time zones outside of standard working hours.
•    Experience working with people from diverse backgrounds, cultures, and perspectives and excitement about contributing to a positive work culture.
•    Curious, creative, and motivated with a passion for sustainability.
•    Proficiency with Microsoft Office Suite and Office 365 tools.
•    Excellent English verbal and written communication skills.



Preferred Requirements 
•    Paralegal certification with contract specialty or JD from an accredited law school.
•    Experience with a mission driven non-profit organization focused on sustainability and conservation.
•    Experience with voluntary standards systems and certification programs and understanding of related risk contexts.
•    Experience with Salesforce.



Employment Package

  • Reports to: Legal Counsel
  • Full-Time Position, 40 Hours a Week
  • Location: Virtual/Remote
  • Annual Salary Range: $75,000-$100,000 USD
  • To be filled as soon as possible (start date to be agreed between both parties).
  • Our salary structures are location-agnostic, ensuring equal pay for the same role, irrespective of location. Final employment offers are determined based on the role, candidate experience, education, and other relevant factors, but not on location. Offers will be presented in the local currency of the candidate's permanent residence. Benefits are tailored to the region of the candidate's permanent residence and align with Textile Exchange’s regional employment packages.
