Overview
Located at Gallagher’s-US’s corporate headquarters in Rolling Meadows, Illinois, this is a unique position for a talented, versatile, pragmatic commercial generalist with proven organizational ability, keen negotiating skill and strong business acumen. The position entails oversight over three workstreams: (i) providing legal support for Gallagher’s procurement contracts; (ii) providing legal support for Gallagher’s marketing agreements; and, (iii) overseeing Gallagher’s global trademarks portfolio. This role will lead a small team as well as provide oversight over outside counsel that manage some of these functions.
How You'll Make An Impact
- Lead and enhance Gallagher US Sourcing’s contracts function and contract management process. Track related metrics and prepare reports as required.
- Review, draft, negotiate and interpret a variety of agreements, including but not limited to, software licensing agreements, vendor services agreements (including IT and other professional services), consulting services agreements, sponsorship and marketing agreements, and other agreements arising out of Gallagher’s operations.
- Ensure that all agreements accurately reflect Gallagher’s business objectives and comply with all laws and regulatory requirements.
- Work closely with Gallagher business leads, management, other Gallagher legal representatives, and the Gallagher procurement and marketing teams on strategic initiatives affecting contracts and commercial issues.
- Provide ongoing and proactive strategic advice regarding contractual and business risks and counsel on contract interpretation and potential dispute issues.
- Work with outside counsel to review and manage Gallagher’s global trademarks portfolio, including registrations, assignments, renewals, and dispute resolution.
- Collaborate and work in a team environment with other Gallagher legal representatives in analyzing and implementing various projects, including improvements on data metrics and reporting and automation.
About You
Required:
- Law degree and 3 years related experience required.
- Requires contract and some functional and industry experience and/or expertise.
Additional Requirements:
- Juris Doctor Degree. Must be licensed in at least one state.
- A minimum of 3 years relevant commercial generalist experience, including hands on experience reviewing, drafting, negotiating and interpreting a variety of agreements.
- Prior experience in a contracts function, including the management of other professionals and working with contract management systems.
- Exceptional verbal and written communication skills.
- Advanced critical thinking and analytical ability.
- Familiarity with trademarks strongly preferred.
- Ability to understand and integrate details of the business to ensure new and existing business relationships are workable across functions.
- Outstanding client management skills, with the ability to inspire confidence and trust with business leads, senior management and other professionals at all levels of the organization.
- Excellent interpersonal skills, with the expertise to drive change and to successfully interface with people at all levels, by virtue of professional competence, personal integrity, and personal style.
- A dedication and commitment to practicing law in a fast-paced, team-oriented environment.
Highly Preferred:
- In-house experience is desirable.
- Familiarity with a CLM tool is desirable.
- Evaluation and implementation of legal process outsourcing is a plus.
