Job description

Latitude is seeking an experienced attorney with deep expertise in securities law compliance, including SEC regulations, Blue Sky laws, and related federal and state filings, to support one of our global law firm clients on an engagement basis.

In this role, the attorney will play a lead role in advising law firm clients on securities compliance matters, including private placements, Form D filings, and state registration and exemption requirements. A key part of the work will involve conducting Blue Sky analysis for securities issuances in multiple states, ensuring accurate filings and compliance with varying state laws.

This is a great opportunity to work across a variety of client matters and play a key role in advising sophisticated clients navigate the complex landscape of securities compliance.

Requirements for Securities Counsel – SEC & Blue Sky Compliance (Part-Time, Remote)

  • 10+ years of legal experience with a strong focus on securities law, including SEC regulations, Blue Sky compliance, and private placement filings
  • Proven experience conducting state-by-state Blue Sky analysis and handling Form D and related securities filings
  • Excellent analytical, drafting, and communication skills
  • Demonstrated ability to collaborate effectively with legal and business teams in a fast-paced environment
  • J.D. from an accredited law school
  • Active bar license in good standing (New York or D.C. preferred, but not required)
  • Prior experience at a top-tier law firm or highly regarded boutique with exposure to sophisticated transactional work
  • Strong professional references attesting to expertise, responsiveness, and client service

Position Details of Securities Counsel – SEC & Blue Sky Compliance (Part-Time, Remote)

Compensation:

Pay: The annualized pay for this position on a full time basis ranges from $225,000 to $275,000 or more when calculated on a full-time basis. Pay for contract roles is based on multiple factors including but not limited to work experience, qualifications, credentials, location, market supply/demand, and the candidate’s preference (each candidate’s pay rate affects the client bill rate which can affect the candidate’s competitiveness for the position).

Benefits: In addition to pay, all Latitude contract professionals receive complimentary professional liability insurance coverage. Latitude contract professionals are usually W2 employees of Latitude and are eligible for full benefits when working in roles for 20 hours per week. Benefits-eligible Latitude contract professionals receive complimentary Group Life, LTD and AD&D. A qualified 401k plan is also available. Benefits-eligible Latitude Attorneys also receive a CLE and Professional Expense stipend.
