Job description

This is a remote position.

Our client, a leading law firm in the Middle East region, is expanding its presence to France and is seeking an ambitious, energetic, and talented Associate-level attorney with Corporate/Commercial practice experience to provide legal advice and analysis on general corporate matters, corporate structuring, commercial agreements, and mergers & acquisitions.

Responsibilities:
  • Work closely with a variety of clients, including national and multinational corporations, regional corporate conglomerates, investment firms, SMEs, and financial institutions.
  • Provide advice on commercial transactions, corporate structuring, regulatory matters, and family business structures.
  • Assist with corporate establishment, registration, transformation, governance, and liquidation.
  • Advise on business transactions involving shareholders, lenders, borrowers, officers, directors, and corporate relations.
  • Draft and negotiate commercial agreements, including franchising, distribution, and joint-venture agreements.
  • Prepare corporate documentation such as articles of incorporation, shareholder resolutions, share capital increases, shareholders agreements, and related documents.
  • Advise on large-scale, complex M&A and other corporate transactions for private equity firms, government-sponsored institutions, and corporate conglomerates.
  • Oversee legal due diligence, disclosure exercises, and completion mechanics for M&A and other corporate transactions.
  • Advise on and draft key transaction documents, including shareholder agreements, joint venture agreements, share/asset sale and purchase agreements, disclosure letters, subscription agreements, employee incentive schemes, and other related documents.



Requirements
  • Bachelor’s degree in law from a reputable university. 
  • 1–3 years of experience as a Corporate/Commercial lawyer, preferably with regional practice experience.
  • Qualified to practice law in France and registered with the French Bar Association.
  • Outstanding communication and negotiation skills.
  • Fluency in both French and English; Arabic is a plus.
  • Strong time management skills and the ability to manage multiple projects under pressure.
