Your day at NTT DATA

The Corporate Counsel position is an experienced professional who provides a broad range of legal support on legal issues for the business with complete knowledge and understanding in the areas specified. This role is part of NTT Global Data Centers Global Procurement, Litigation and Claims Management legal team and supports internal stakeholders with reviewing and negotiating vendor and supplier contracts and handling all other commercial legal matters in relation to the procurement activities as well as litigation and claims management. This role is responsible for working mostly independently in the areas of its core competency and handling complex issues with oversight by the Senior Legal Director – Global Legal Procurement & Litigation and the Senior Vice President Legal and Human resources.

What you'll be doing

ESSENTIAL DUTIES AND RESPONSIBILITIES

Responsibilities/Duties:
 

  • Assist internal stakeholders with drafting, reviewing, and negotiating global supplier and services contracts across various practice areas (e.g., goods and equipment, services agreements, NDAs, data privacy, SaaS, security services, data center maintenance, employee benefits).
  • Ensure alignment with corporate goals and policies to drive revenue growth.
  • Coordinate with cross-functional departments (e.g., sales, finance, tax, procurement, insurance) to conclude deals swiftly with appropriate governance.
  • Summarize legal facts for commercial and legal decisions.
  • Collaborate with internal stakeholders to draft, submit, and manage escalation approval request forms and legal memos for the Procurement department.
  • Manage, draft, and adapt supplier and vendor template agreements to meet market demands and industry standards.
  • Maintain a global template library to ensure purchasing competitiveness while protecting company interests.
  • Provide legal advice and respond to queries related to existing contracts.
  • Offer strategic guidance on early contract termination, novation’s, price increases, renewals, amendments, customer rights, disputes, and documentation of changes.
  • Identify opportunities and potential risks from commercial contracts, laws, regulations, and policies.
  • Work with senior legal team members and internal stakeholders to implement initiatives.
  • Manage litigation counsel, draft demand letters, filings, and other memoranda.
  • Fulfill discovery requests and advise internal stakeholders through the litigation process.
  • Responds timely to inquiries from all departments regarding contractual obligations and commitments; ensures that contractual matters are addressed efficiently and promptly.
  • Advises company management on complex matters, using persuasion in delivering concise and clear messages, with the ability to adapt style to differing audiences and often advises others on difficult matters, including potential risks in contractual, regulatory, compliance, financial, and legal areas.
  • Interact professionally with vendors, clients, internal NTT GDC departments and NTT corporate affiliates throughout the world.
  • Respond promptly to the demands of multiple internal client groups.
  • Manage risk and ensure business and compliance needs are accurately reflected in agreement(s).
  • Assist with the development and implementation of contract procedures and templates to improve operational efficiency.

KNOWLEDGE, SKILLS, AND ABILITIES

  • Highly interested in the data center sector and/or a willingness to acquire the relevant knowledge to serve as a true legal business partner
  • Strong commercial contract drafting and negotiation skills
  • Past experience using contract management platforms/software
  • Possesses a high level of verbal and written communication skills with the ability to communicate and explain complex legal issues clearly and concisely to business stakeholders
  • Enjoy presenting legal facts and cases to non-legal colleagues as well as delivering hands-on, practical and robust solutions 
  • Applies advanced, wide-ranging experience and in-depth professional knowledge to develop and resolve complex issues in creative ways
  • Resolves and assesses a wide range of issues creatively, suggesting variations in approach with consultation from senior legal managers when needed
  • Requires conceptual thinking to understand complex issues and their implications.
  • Developed business acumen, combining legal and business analysis and judgment in a practical manner
  • Frequently advises key people outside own area of expertise on complex matters, using persuasion and adapting style to differing audiences
  • Ability to work in a dynamic and fast-paced business environment, handling complex requirements
  • Produces timely, accurate, consistent, and positive results under deadline pressure
  • Work effectively under pressure, responding to urgent situations as needed, prioritizing multiple business objectives, and meeting deadlines and milestones for assigned projects
  • Possesses a high level of accuracy, attention to detail, and excellent proofreading skills
  • Work is done independently in areas of core competency and is reviewed at critical points.
  • Self-starter, excellent time management skills, well organized, effectively manages stress in a fast-paced environment and produces timely, accurate, consistent, and positive results under deadline pressure.
  • Ability to work well both independently and as part of a highly collaborative team.
  • Excellent verbal and written communication skills.

EDUCATION AND EXPERIENCE
 

  • Juris Doctorate degree from an accredited law school.
  • Current member in good standing of a State Bar with no prior disciplinary action.
  • Data center industry or technology industry experience a plus.
  • A minimum of six (6) years or more of relevant legal experience at a law firm AND as in-house counsel, with preferably at least two (2) years of experience as in-house counsel.

PHYSICAL REQUIREMENTS
 

  • Primarily sitting with some walking, standing, and bending.
  • Ability to communicate and interact with others.
  • Able to hear and speak into a telephone.
  • Ability to lift and carry up to 20 lbs.
  • Close visual work on a computer terminal.
     

WORK CONDITIONS
 

  • Standard remote office environment, perform work from a remote location with stable internet connection.
  • Extensive daily usage of workstation or computer and telephone.
  • Perform work during US normal business hours with flexibility to participate in calls across global time zones.
  • Occasional travel, approximately 10% of the time.

This is a remote position that requires reliable internet connection and electricity. A monthly stipend is provided to cover expenses associated with working remotely and use of a personal mobile device, if applicable.

NTT Global Data Centers Americas, Inc. offers competitive compensation based on experience, education, and location. Base salary for this position is $ 189,000.00 - $ 250,000.00.

All regular full-time employees are eligible for an annual bonus; payout is dependent upon individual and company performance.
